§1 Scope of application
These are the General Terms and Conditions (GTC) of the Online Football Association GmbH (hereinafter referred to as "ONLINELEAGUE.co.uk"), Voßstr. 12, 30161 Hanover.
The following terms and conditions apply to registration as a sponsor and to advertising bookings on www.ONLINELEAGUE.co.uk.
Upon log in and registration, the terms and conditions are considered read, understood and accepted.
Sponsor definition:

By booking your advertising, you act as a virtual sponsor of one or multiple fantasy football teams in the online soccer manager game "ONLINELEAGUE.co.uk". The Users, i.e. the team managers, are suggested a number of possible sponsors in the game and select the sponsor of their choice. Each sponsor is shown in many places in the game with its name and logo/promotional visual. The payout of sponsors' funds to the football teams relates exclusively to virtual play money. There are no other fees for virtual sponsoring.

The following terms and conditions apply in their version valid at the time of conclusion of the contract.
Deviating or conflicting terms and conditions will not be accepted unless they have been expressly agreed to. The performance of the services is not to be regarded as such an approval.

§1.2 General Terms and Conditions Changes
ONLINELEAGUE.co.uk is entitled to make changes to the terms and conditions and other conditions with effect for the future. Such changes are only agreed for valid reasons, in particular due to new technical developments, extensions of services, law or jurisdiction changes or other equivalent reasons. If the change significantly disrupts the contractual balance between ONLINELEAGUE.co.uk and you, the change will not be made. In addition, changes require approval. You must agree to this changes and be informed of them when you log in to the respective gaming platform, via in-game messages or by email to the last email address you provided. The changes are deemed approved if you do not object in writing or in text form (e.g. by email or fax) within 8 weeks of receipt ("objection period"). This fact is pointed out separately in the change notification. We recommend that you submit your objection to us in writing or by email for evidence keeping purposes.
If you do not accept the changes to the terms and conditions, both parties are entitled to terminate the contract with a notice period of one month, unless there is already a right of termination at any time. The original terms and conditions continue to apply until termination of the contract. Any service fees paid in advance over the termination period in connection with fixed-term continuing obligations will be reimbursed to you on a pro rata basis in this case. Further claims are excluded.

§2 Availability of the ONLINELEAGUE.co.uk platform
guarantees an accessibility of 97% on an annual average. This excludes times when the servers of the website cannot be reached via the Internet due to technical or other problems beyond the control of ONLINELEAGUE.co.uk (force majeure, responsibiity of third parties, etc.), as well as times when routine maintenance is carried out. The liability for non-availability of the website and its services in the event of intent and gross negligence remains unaffected. ONLINELEAGUE.co.uk does not guarantee that the services meet your requirements. In particular, ONLINELEAGUE.co.uk does not guarantee your pursued purposes. ONLINELEAGUE.co.uk may restrict access to the services if the security of network operation, maintaining network integrity, and in particular the avoidance of serious disruptions to the network, software or stored data require this.
ONLINELEAGUE.co.uk reserves the right to discontinue operation of the services at any time without giving reasons. In this case, you can demand that you have already paid fees either be credited for another service offered by the operator or that the operator reimburses fees paid in advance, in accordance with paid use or claims for defects. Further claims for discontinuation of service are excluded.

§3 Registration
Registration, use and booking rights are only entrepreneurs or companies within the meaning of sections 14, 310 para. 1 BGB that have full business or legal capacity. Exceptions are invited separately by ONLINELEAGUE.co.uk to participate.
The use of the platform requires registration. You are required to provide correct, current and complete information when registering according to the requirements of the registration form and to keep your information up to date at all times. Registration is free, but only 1 registration is allowed per company.
You are not entitled to access the website. ONLINELEAGUE.co.uk can refuse to confirm the registration without giving reasons.
You are aware that you can receive legal declarations (e.g. emails with offers or assumptions, indications of changes to the terms and conditions, etc.) by email. These are deemed to have been received if they are available under normal circumstances in the mailbox, on the platform or in the email inbox that you specified when registering or when booking outside the platform.
Regardless of whether you make bookings via the platform or outside the platform, the following applies: You grant ONLINELEAGUE.co.uk exclusively for the purpose of self-promotion (online or offline) through a simple, sublicensable right to use the brands, trademarks and company names and logos. They assure that they are entitled to grant such a right of use.

§4 General obligations when using the platform
You are obliged to ensure that your account is only used by yourself and must keep your account access data in secret for this purpose. The holder of an account is fully responsible for all activities carried out through their account.

§5 Booking of advertising measures
The advertising measures are displayed on the website by ONLINELEAGUE.co.uk during the agreed period of time. ONLINELEAGUE.co.uk will make every effort to enable the placement of advertising measures in the desired area without assuming any guarantee for this. No guarantee is given for the visibility of advertising measures for the Internet user.
An exclusion of competitors cannot be granted, meaning that competitors cannot be excluded from advertising during the same period of time.

§6 Advertising Material
You are obliged to provide the materials necessary for the advertising campaign free of charge before the agreed circuit date. The quality of the material in technical and content is your sole responsibility.

§7 View/Circuit
The view takes place in the usual playback quality and depends on the technical standard of the respective technical equipment of the Internet user.
All prerequisites in the "Main Sponsor" section must be properly completed in order to place the advertising campaign. ONLINELEAGUE.co.uk allows you to shift during a season or at the start of the new season.
You are obliged to check the advertising measures placed immediately after the first placement and to complain about any errors within the first week of switching. After this period, any error is deemed to be approved. Subsequent changes to the advertising measures will not be carried by ONLINELEAGUE.co.uk.

§8 Legal responsibility:
You bear legal responsibility, in particular media, press and competition law responsibility, for the content of all advertising measures provided, in particular the material provided. You are obliged to check carefully that the content does not violate statutory provisions and the applicable common advertising guidelines of the state media institutions. You guarantee that the respective content does not affect the rights of third parties. Furthermore, you guarantee that you will not publish or refer to any illegal or immoral content as part of the cooperation. In addition, they undertake to release ONLINELEAGUE.co.uk in full on first request from all possible disadvantages that ONLINELEAGUE.co.uk may arise from or in connection with the execution of the order. This applies in particular to claims by third parties, for whatever legal reason, and the resulting costs of legal defence.

§9 Order completion
The price of your service depends on individual setting options and is always calculated in real time. The amount to pay is displayed after entering the region, sponsor type and term. Only after you receive a confirmation email and have activated the confirmation link, the order will start according to your settings.

you are submitting a binding contract offer. A contract is only concluded when we accept this offer. This is done exclusively by sending an email with which ONLINELEAGUE.co.uk confirms receipt and acceptance of your order.


§11 Billing
ONLINELEAGUE.co.uk is entitled to issue the invoice electronically unless otherwise agreed. Unless otherwise stated, fees are subject to statutory sales tax, unless there is no statutory sales tax.

§12 Terms of Payment
Invoicing takes place separately at the beginning of the service period. A separate invoice will be sent via email. The email has an outstanding invoice amount or the amount already paid. All payment methods offered are available. The payment is made debt-free to the account specified in the invoice from ONLINELEAGUE.co.uk. ONLINELEAGUE.co.uk reserves the right to demand advance payments. Payments are due immediately after receipt of the invoice without deductions. The delay occurs 14 (fourteen) days after the due date and receipt of the invoice.
You are only entitled to set-off rights if you have legally established counterclaims, are undisputed or acknowledged by ONLINELEAGUE.co.uk. In addition, you are only entitled to assert a right of retention to the extent that the counterclaim is based on the same contractual relationship and is legally established, undisputed or acknowledged by ONLINELEAGUE.co.uk.

§13 Termination of the user relationship; duration and termination of individual bookings
Everyone has the right to terminate the user relationship with regard to the use of the platform at any time without giving reasons by deleting their account or by terminating them in writing. ONLINELEAGUE.co.uk can terminate the user relationship with a notice period of two weeks without giving reasons or after the end of the season (44 gamedays).
ONLINELEAGUE.co.uk is entitled to terminate the platform usage relationship and/or bookings with immediate effect if you violate essential obligations arising from this user agreement and/or a booking and, despite a warning, do not provide a timely remedy with a reasonable deadline. A warning is not necessary if it does not promise success or the violation is so serious that ONLINELEAGUE.co.uk cannot be expected to adhere to the contract.
Bookings that have already been completed remain unaffected by termination of the platform usage relationship unless ONLINELEAGUE.co.uk expressly announced a termination in this regard as well.
The cancellation of bookings must be fulfilled in writing.
§14 Liability
ONLINELEAGUE.co.uk has unlimited liability for intent or gross negligence, for injury to life, limb or health. Regardless of this, ONLINELEAGUE.co.uk is only liable in the case of simple negligence in the event of a breach of essential contractual obligations, i.e. the breach of obligations the fulfillment of which enables the proper execution of the contract in the first place and on whose compliance you can regularly rely ('cardinal obligation'). In the event of a slightly negligent violation of a cardinal obligation, ONLINELEAGUE.co.uk's liability is limited to such contract-typical damages and/or contract-typical damages that were foreseeable at the time the contract was concluded.
The above limitations of liability also apply in the event of the fault of a vicarious agent of ONLINELEAGUE.co.uk and to the personal liability of ONLINELEAGUE.co.uk employees, representatives and bodies.
ONLINELEAGUE.co.uk is basically liable for damage to the contractual partner in the context of the order if these claims result from the Product Liability Act. As far as the liability of ONLINELEAGUE.co.uk is excluded, this also applies to the personal liability of the employees, workers, employees, representatives and vicarious agents of ONLINELEAGUE.co.uk
Force majeure, operational disruptions or other cases of impossibility for which ONLINELEAGUE.co.uk is not responsible, which prevent the ONLINELEAGUE.co.uk temporarily, through no fault of their own, from providing the contractual services on the agreed date or within the agreed deadline, the deadlines and dates will change by the duration of the service disruptions caused by these circumstances.

§15 Responsibility for Content
ONLINELEAGUE.co.uk generally does not review content and is not obliged to do so, but is entitled to do so at its own discretion.

§16 Data Protection
ONLINELEAGUE.co.uk is entitled to process, in particular store, all business-relevant data of the user in compliance with the Federal Data Protection Act.

§17 Confidentiality
The parties undertake to treat all information and data they receive from each other in connection with the execution of the order confidentially and not to make them accessible to third parties. This applies in particular to price lists and contracts. This obligation also applies after the end of the order.

§18 Final provision
The law of the Federal Republic of Germany applies. The provisions of the UN Sales Convention do not apply. The exclusive place of jurisdiction for any dispute arising out of or in connection with these GTC or bookings made below is Braunschweig.
Should one or more provisions of these terms and conditions be or become ineffective, this does not affect the effectiveness of all other provisions or agreements in case of doubt. The parties will replace the ineffective regulation with those that come as close as possible to the economic purpose of the ineffective regulation. The same applies to contract gaps.
Changes and additions to the order, including changes to this clause, must be made in writing. The declaration of termination or withdrawal must be made in writing. Insofar as written form is mentioned within the scope of these terms and conditions, this includes the text form within the meaning of § 126 b BGB.

ONLINELIGA.de is a browser-based online game with online forum. The following terms and conditions cover the contractual relationship between ONLINELEAGUE.co.uk and its users. By registering, the user confirms that he has read and understood the terms and conditions and that he accepts them.

§3 Usage

The game can only be used via an Internet connection on the computer, tablet, smartphone or other device (“end device”). The cost of internet connection is borne by the user. ONLINELEAGUE.co.uk does not provide support for the provision of the Internet connection.

The use of programs that create an excessive load on the Services is also prohibited, as is the use of any software to influence the usual gameplay, in particular programs for systematic or automatic control of games or individual game functions (bots, macros). Any reproduction, evaluation or modification of the games, game elements or the content provided as part of the Services is also prohibited.

It is forbidden to exploit bugs or programming errors for your own purposes. Detected bugs or errors should be reported on the various forms as soon as possible.

§4 Registration/Access to the game

ONLINELEAGUE.co.uk allows users to participate in gaming operations and services within the scope of the available technical and operational possibilities. Participation in the games is for entertainment only. ONLINELEAGUE.co.uk provides certain information on its websites and enables users, among other things, to put information on the net, create individual personal profiles that can be viewed by game users, service users and third parties. The user can also communicate with third parties via the websites, exchange photos, videos and other media content, publish blogs and comments, and submit ratings in text form about games, other users, third parties or transactions.

ONLINELEAGUE.co.uk can be used by any user with Internet access. Access to the online game requires registration. To register, the user needs an email address, team manager name, team name and a self-selected password.

§5 Accounts, terms of payment, delay
§5.1 Free of charge

ONLINELEAGUE.co.uk generally makes the games and services available to users as far as necessary from the creation of an account. In this case, only one basic version is initially available to the user. The creation of the account and the use of the basic version are free of charge. However, not all features are available to the user in the basic version.

§5.2 Premium

The user has the option of obtaining features that are not available in the free version (“Premium Features”) such as extended game functions for a fee.

§5.3 Subscription/Automatic Renewal

ONLINELEAGUE.co.uk offers users a subscription, i.e. a regular purchase of premium features. For more information, see the listed information on the Premium Account information page.

§5.4 Payment terms, due date

ONLINELEAGUE.co.uk is entitled to demand service fees in advance for the use of premium features. The service fees become due upon conclusion of the contract and are paid by the user.

The technical records underlying the settlements are considered to be accurate unless there is any indication of manipulation. ONLINELEAGUE.co.uk offers users this option as a voluntary option.

§5.5 Adjustments to fees

ONLINELEAGUE.co.uk is entitled at any time to reduce prices permanently or for a limited time and to offer new products, services or billing modalities permanently or for a limited time. ONLINELEAGUE.co.uk is also entitled to increase the prices for all services that do not constitute subscriptions (continuing obligations) at any time with effect for the future. The user can cancel/suspend the extension of premium features with one click.

§5.6 Chargebacks, Cancellation Fee

If ONLINELEAGUE.co.uk incurs cancellation fees in the event of cancelled transactions due to the fault of the user or due to circumstances attributable to the user, the user shall bear the costs incurred in each case.

§6 No profit guarantee

ONLINELEAGUE.co.uk does not guarantee users profits. In particular, users are not entitled to the payment of a prize unless such a claim is expressly stated in these terms and conditions.

§7 No offsetting, retention rights, prohibition of assignment

The user can only offset claims from ONLINELEAGUE.co.uk with undisputed or legally established counterclaims. The user can only exercise a right of retention if his counterclaim is based on the same contractual relationship. The assignment of user claims against ONLINELEAGUE.co.uk to third parties is excluded.

§8 Term

The contracts between the user and ONLINELEAGUE.co.uk are concluded for an indefinite period of time, unless otherwise specified in the specific offer of ONLINELEAGUE.co.uk.

§9 Multi account lock

Users are prohibited from running more than one account (so-called “multi-accounts” or potential “pushing”). ONLINELEAGUE.co.uk is entitled to block these accounts for the season (max. 44 days) and delete them if necessary. ONLINELEAGUE.co.uk is allowed to blocking and/or deleting the original account. The exception is vacation replacement (see rules of the game).

§10 Severability clause

Should one of the provisions of these terms and conditions be void or become void, the validity of the general terms and conditions remains unaffected. The ineffective provision is deemed to be replaced by one that economically comes closest to the meaning and purpose of the ineffective provision in a legally effective manner. The same applies to any regulatory gaps.

§11 Termination

The parties' right to terminate at any time for important reasons remains unaffected by the above provisions.

If ONLINELEAGUE.co.uk is responsible for the extraordinary termination, the user will be reimbursed proportionately for any fees paid by him in advance beyond the termination period for corresponding fixed-term services (in particular for temporary premium features). Further claims of the user are excluded unless otherwise agreed in these terms and conditions.

ONLINELEAGUE.co.uk is particularly entitled, but not exclusively, to terminate for important reasons if:

  • the user culpably violates laws that violate the rules of the game and/or rules of use for services and does not stop the violation despite a warning; in the event of serious violations, a warning is dispensable if ONLINELEAGUE.co.uk cannot be expected to adhere to the contract.
  • if the user is no longer eligible to play with his team for a longer period of time. Note 7.4.2 in the game rules.

ONLINELEAGUE.co.uk is generally unreasonable to expect adherence to the contract in the following cases, among others:

  • if the user violates criminal laws
  • if the user violates the ban on multiaccounts as defined in the rules of ONLINELEAGUE.co.uk
  • if the user violates the ban on pushing
  • if the user violates the prohibition of unauthorized scripts and/or the prohibition of systematic or automatic control of the games and/or the prohibition of reproduction, evaluation or modification of the games, game elements or the content provided through the Services
  • if the user violates the prohibition of exploiting program errors (bugs)
  • if the user violates the ban on the use of anonymization services - fingerprints
  • if the user gives false information when registering or paying for premium features.

In the event of termination given by ONLINELEAGUE.co.uk due to good cause, ONLINELEAGUE.co.uk is entitled to demand compensation from the user for any resulting damage.

Notwithstanding the right of termination, ONLINELEAGUE.co.uk is entitled to temporarily block the user's access if there is an initial suspicion of misuse of the games or services of ONLINELEAGUE.co.uk and/or other behavior of the user that entitles ONLINELEAGUE.co.uk to extraordinary termination would.

§12 Duties

The main duty of the user is the payment of the intended fee, unless he is using the free basic version of the game or services. The main duty of the user is also the obligation to comply with the applicable rules of the game and the obligation to provide correct and complete data that ONLINELEAGUE.co.uk requests from the user when concluding the contract or in the course of the contractual relationship. The user undertakes to keep all non-public account and login details (login data, passwords, accountID, etc.) strictly confidential from third parties. The confidentiality obligation also applies to friends, acquaintances, relatives and other players or other users of the Services. The user will inform ONLINELEAGUE.co.uk immediately as soon as he becomes aware of it or suspects that unauthorized third parties are aware of the login details. For reasons of litigation, the user is advised to do so via the various forums. If a third party uses an account after obtaining the login data because the user has not sufficiently secured it from third-party access, the user must become unclear about who acted under the relevant account and who in the event of a contract or other infringement can be claimed, treated as if he had acted himself. ONLINELEAGUE.co.uk is entitled to regard any access with the user's data as the user's own access. ONLINELEAGUE.co.uk points out that passwords should be changed regularly for security reasons. The user is solely responsible for the use of his/her account.

In the event of a reasonable suspicion that non-public account or login details have been made known to unauthorized third parties, ONLINELEAGUE.co.uk is entitled, but not obliged, to independently change the access data without prior notice or to use the account at its own discretion without prior notice lock. It will inform the authorized user of this immediately and, upon request, provide him with the new login details within a reasonable period of time. The user is not entitled to have the original login data restored.

The user is not entitled to sell or otherwise pass on his/her full account, individual game items, premium features or game functions to third parties. Exceptions are only permitted with consultation and approval from ONLINELEAGUE.co.uk or in conjunction with § 11.

ONLINELEAGUE.co.uk secures its systems against virus attack. However, virus outbreaks can never be completely ruled out. In addition, unauthorized third parties may send e-mails using the name of ONLINELEAGUE.co.uk without its consent, which, for example, contain viruses or so-called spyware or link to web content that contains viruses or spyware. ONLINELEAGUE.co.uk has no influence on this. The user will therefore check all incoming mails sent by ONLINELEAGUE.co.uk or allegedly in its name for virus attack. This also applies to emails from other users of the games or services.

The user shall comply with the instructions of ONLINELIGA.de and its employees as well as its vicarious agents. This applies in particular also to the instructions of the administrators and moderators of a forum possibly belonging to the respective game or service.

There is no entitlement to recover deleted information.

In addition, ONLINELEAGUE.co.uk is entitled to exclude the user from further participation in the affected services and to terminate the user's account without notice in the event of repeated infringement despite being warned against the above provisions. ONLINELEAGUE.co.uk expressly reserves the right to assert further claims, in particular claims for damages.

ONLINELEAGUE.co.uk is not liable for damage or loss of data that may result from the installation of hardware or software that does not come from ONLINELEAGUE.co.uk on the user's computer, mobile phone or other (mobile) devices used by the user for the games and services.

§15 Copyrights

All rights to the information posted by the user remain with him. Before reporting any error, the user will make use of the game or service instructions and, if necessary, other troubleshooting assistance provided by ONLINELEAGUE.co.uk (in particular lists of frequently asked questions, discussion forums on problems). The user has to support ONLINELEAGUE.co.uk to the best of his ability in a possible rectification of defects.

The user must report defects to ONLINELEAGUE.co.uk immediately after their discovery. For the purpose of keeping evidence, the user is advised to send all complaints in text form (by fax, letter or via the forum) to ONLINELEAGUE.co.uk.

Errors caused by external influences, operating errors caused by the user, force majeure or changes or other manipulations not carried out by ONLINELEAGUE.co.uk are generally excluded from the warranty.

Guarantees in the legal sense are not assumed by ONLINELEAGUE.co.uk.

§17 Liability and limitation of liability

The user is liable for infringement of third party rights to them and directly. Place of jurisdiction is Braunschweig, Germany.

The law of the Federal Republic of Germany applies exclusively to these General Terms and Conditions, including future amendments, as well as to contracts concluded on the basis of these GTC and for any claims arising therefrom, with the exclusion of the provisions of the uniform UN sales law on the Purchase of movable property and to the exclusion of German international private law.

Should provisions of these terms and conditions be or become ineffective, this does not affect the validity of the remaining provisions.

Note

We would like to point out that in the case of a contract for the delivery of digital content that is not on a physical data carrier, the right of revocation expires even if the execution of the contract has begun after the consumer has expressly agreed to has that the execution of the contract begins before the end of the withdrawal period and has confirmed his knowledge that he loses his right of withdrawal by giving his consent upon commencement of the execution of the contract.

Withdrawal

You have the right to revoke the contract to participate in the game and the contract for the purchase of features within fourteen days without giving any reason.

The cancellation period expires 14 days after the date of conclusion of the contract.

You can use the attached sample revocation form for this, but this is not mandatory.

To meet the withdrawal period, it is sufficient for you to send the notification about the exercise of the right of withdrawal before the end of the withdrawal period.

Consequences of revocation

If you cancel this contract, we will send you all payments we have received from you, including delivery costs (except for the additional costs that result from you choosing a different type of delivery than the cheapest standard delivery we offer) immediately and at the latest repay within 14 days from the date on which we receive the notification of your cancellation of this contract. For this repayment, we will use the same means of payment that you used in the original transaction, unless you have expressly agreed otherwise; in no case will you be charged reimbursement for this refund.
